These terms are an agreement between you and the operator of VinesFlow, an independently operated software service based in Pakistan. They govern your use of the VinesFlow website and application.

By creating an account, or by using VinesFlowas a member of someone else's organization, you accept these terms. If you are accepting on behalf of a company, you confirm you are authorised to bind it.

VinesFlow is a hosted application for invoicing, inventory and the surrounding paperwork — sales orders, delivery challans, invoices, credit notes, purchase orders, goods receipts, bills, payments and stock records — together with digital invoicing submission to the tax authorities. We may add, change or withdraw features as the product develops.

You must be at least 18 and able to enter a contract. You are responsible for the accuracy of your account details, for keeping your password secret, and for everything done under your account.

Records in VinesFlow belong to an organization. Whoever creates an organization becomes its Super Admin and controls who may join it, what role each member holds, and what those roles may do.

If you join an organization you did not create, its administrators can see your activity within it, change your permissions, and remove your access. Where your employer or client controls the organization, they — not we — decide what happens to the records in it.

The business records you put into VinesFlow remain yours. You grant us only the permission we need to host, process, back up and display them so the product works, and to transmit them to a tax authority where you have configured that.

You are responsible for having the right to enter the data you enter, including personal information about your customers, employees and suppliers, and for handling it lawfully.

You may not:

• break the law, or use VinesFlow to help someone else do so;
• submit false or fraudulent information to a tax authority through the product;
• attempt to access another organization's data, or probe or breach our security;
• reverse engineer, resell or rent the service without our written permission;
• upload malware, or interfere with the service's operation for anyone else.

VinesFlow transmits the invoice data you enter to the FBR. It is a tool for submitting what you tell it to submit.

We are not your tax adviser, and we do not verify that what you file is correct. You remain solely responsible for your registration status, for the accuracy and completeness of every invoice, for the tax rates and treatments you apply, and for meeting your filing obligations and deadlines. Any penalty, default surcharge or assessment arising from what you file is yours.

Submission depends on systems we do not control. We cannot guarantee that an authority will be reachable, that it will accept a given submission, or that its schemas and rates will not change at short notice.

Fees, billing periods and any trial terms are those shown at the point you subscribe. Unless stated otherwise, fees are exclusive of applicable taxes, which you pay in addition.

Subscriptions renew automatically for further periods unless cancelled before the renewal date. We may change our prices on reasonable notice, taking effect at your next renewal. Fees already paid are not refundable except where the law requires.

We aim to keep VinesFlow available and to fix faults promptly, but we do not promise uninterrupted service. We may take the service down for maintenance, and will try to give notice where a planned interruption is significant. Support is provided at [email protected].

You may stop using VinesFlow and close your organization at any time. We may suspend or terminate access if you materially breach these terms, if your account is used unlawfully, or if fees go unpaid after we have asked you to settle them.

Before an organization is closed, export what you need. After closure we handle remaining data as described in the privacy policy, subject to any retention the law requires.

The VinesFlow software, brand, design and documentation belong to us. These terms give you a limited, non-exclusive, non-transferable right to use the service while your subscription is active, and nothing more.

To the fullest extent the law allows, VinesFlowis provided "as is". We do not warrant that it will be error free, that it will meet a particular requirement, or that the results it produces — including any figure, report or submission — will be accurate or fit for a given purpose. Statutory rights that cannot be excluded are unaffected.

To the fullest extent the law allows, we are not liable for indirect or consequential loss, nor for lost profits, lost business, lost goodwill, or the cost of tax penalties arising from what you filed.

Our total liability arising out of or in connection with these terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim.

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

You will indemnify us against claims, losses and reasonable costs arising from your use of the service in breach of these terms, from data you entered that you had no right to enter, or from filings you made through the product.

We may revise these terms as the product and the law change. The date at the top shows the current version. Where a change materially reduces your rights, we will give notice before it takes effect; continuing to use VinesFlow afterwards means you accept the revision.

These terms are governed by the laws of Pakistan. Disputes are subject to the exclusive jurisdiction of the courts of Karachi, Pakistan.
